§ 1 General

2. Terms of payment

Billing is usually due with providing the service and / or delivery of the goods.

a. All invoices are payable in full upon receipt of the invoice, and debit, credit card, unless other payment terms are agreed in writing.  
b. We have the right at our discretion to ask for advance payments or deposits. Partial services can be billed separately.
c. The delivery of the goods will be made upon completion of payment of the invoice amount, or after entry into force of the offer customized framework agreement. Complaints, rework, and any changes cannot be carried out free of charge after full payment of the bill.

3. Terms of Payment by installment

§ 9 Color Management

Furthermore, we assume no liability for the quality of printing as the ink depends on the equipment and know-how of the print shop and the quality, variety and processing of the used paper.

§ 10 References

After handing over all the copyrights to the client, the contractor is entitled to record the job performance in his reference catalog. These are for representation only. The reference list is not disclosed to third parties. The customer may object to the publication, however.

§ 11 Applicable Law

For the warranty terms and the entire legal relationship between seller and buyer, the law of the Federal Republic of Germany under exclusion of UN commercial law is applicable. For directly or indirectly arising conflicts from the contractual relationship the jurisdiction is Wiesbaden.

§ 10 Payment, reimbursement, upgrading and downgrading 

1. For the payment of invoices a valid bank account is required. § 13  Cancellation and Termination 

1. The contract may be terminated according to the agreed minimum contract term of the individual service / packages offers with a period of one month before the minimum contract period ends; otherwise the contract is extended according to the linked information of the respective package offer.

§ 14 Changes in functions and prices

§ 5 Entitlement to compensation, billing and payment in the Affiliate Partner Program

6. The right to payment of the premium is due for payment on the 15th of the month after its formation. For the pay-out a minimum balance of 10 € must be available on your account. 
7. In the premium the valid legal VAT is included. If you are liable for VAT according to § 27 Sales Tax Act, then we will transfer your premium including the applicable VAT. For this we need the tax identification number. Otherwise, redrauscher. Sylvia Klein is obliged to report the sales tax to the tax office for you, and there to pay in for you according to sales tax law § 13C liability on the sale, pledge or attachment of debts. By accepting the Affiliate Terms and Conditions, you cede the obligation of payment of the VAT to redrauscher. Sylvia Klein. Sylvia Klein transfers you then your premium exclusive of applicable taxes.

§ 6 Contract terms, cancellation and termination 

1. redrauscher. Sylvia Klein reserves the right to refuse mediated customers under the Affiliate Partner Program without giving a reason. You may, therefore, no claim against redrauscher. Sylvia Klein. 
2. redrauscher. Sylvia Klein will suspend you with immediate effect from the Affiliate Partner Program for a breach of the provisions listed in the Affiliate GTC and the GTC of redrauscher. Sylvia Klein and 
3. in the case of point 1 and 2 claim a penalty from you up to that time claimed but not yet paid premiums. 5. The right of immediate termination for good cause remains unaffected for both parties. For redrauscher. Sylvia Klein is an important reason, if
   a. the services of redrauscher. Sylvia Klein are used fraudulently,
   b. in the use criminal laws, other laws or morality were violated or strongly suspected, or
   c. you violated the obligations imposed in the GTC of redrauscher. Sylvia Klein or
   d.  other relevant reasons exist.
6. Cancellations must be made in writing of you and redrauscher. Sylvia Klein.

§ 7  Final Provisions 

1. Verbal agreements do not exist. Changes and additions to the Affiliate Partner Program must be made in writing. 
2. The rights and obligations under the Affiliate Partner Program are not transferable without the consent of the other party.
3. Claims arising from the Affiliate Partner Program can be ceded only with prior written consent of redrauscher. Sylvia Klein.
4. Against claims of redrauscher. Sylvia Klein, you can only offset uncontested or legally established claims.
5. You do not have authority to collect and no power is given to present redrauscher. Sylvia Klein to third parties. You do not have to fulfill the obligations under a mediated transaction.
6. If the customer is not a consumer within the meaning of § 13 BGB, a legal entity under public law, a public sector fund or has no general jurisdiction in Germany, the jurisdiction for all property disputes arising from this agreement is Wiesbaden. redrauscher Sylvia Klein is entitled to sue at the place of the customer.
7. The contractual relationships of the parties are subject to the laws of the Federal Republic of Germany, except the provisions which are applicable jurisdictions (private international law, Article 3 of the ongoing introduction of the Act to the Civil Code). 
8. Should any of these Affiliate GTCs or the GTCs of redrauscher. Sylvia Klein be wholly or partially invalid or lose their legal effect later, then the validity of the remaining provisions shall not be affected. In place of the ineffective regulation the legal specifications apply.
